Canton of Zug, Switzerland and Singapore – December 29, 2025 - WISeKey International Holding AG (Nasdaq: WKEY) (“WISeKey”) , a global leader in cybersecurity, digital identity, and IoT solutions platform, WISeKey International Holding AG (Nasdaq: WKEY) and Columbus Acquisition Corp. (Columbus), a publicly traded special purpose acquisition company, have announced the submission of a draft registration statement on Form F-4 (the Confidential Registration Statement) with the U.S. Securities and Exchange Commission (SEC) on December 23, 2025. This statement relates to the business combination announced on November 10, 2025, among Columbus, WISeSat.Space Holdings Corp., a British Virgin Islands business company (Pubco), and WISSat. Space AG, a Swiss company, which wholly-owns WISet.Space AG. Each company will become wholly owned subsidiaries of Pubco. WISESat will be listed on Nasdaq. The transaction is expected to result in a newly formed Virgin Islands holding company expected to be listed as a Nasdaq listed company.
